1. Introduction

Welcome to VibeVideo ("Service"), operated by VibeVideo ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, applications, and services.

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 16 years old to use this Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service and that they have read and agreed to these Terms on your behalf.

If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

4. Description of Service

VibeVideo is an AI-powered video editing platform that allows users to:

• Upload and process video content
• Extract clips from longer videos using AI analysis
• Add captions and text overlays to videos
• Export edited videos for social media platforms

5. Acceptable Use

You agree not to:

• Upload content you do not have the right to use
• Infringe any intellectual property, privacy, or publicity rights
• Upload illegal, harmful, threatening, abusive, defamatory, or objectionable content
• Use the Service for any unlawful purpose
• Attempt to reverse engineer, decompile, or disassemble the Service
• Scrape, crawl, or use automated means to access the Service
• Circumvent any security or access controls
• Interfere with or disrupt the Service or servers
• Resell, sublicense, or redistribute the Service without authorization
• Use the Service to generate spam or unsolicited communications

6. Your Content

Ownership: You retain ownership of all content you upload to the Service ("Your Content"). We do not claim ownership of Your Content.

License Grant: By uploading Your Content, you grant us a limited, non-exclusive, royalty-free license to process, store, and display Your Content solely for the purpose of providing the Service to you.

Representations: You represent and warrant that:

• You own or have the necessary rights to Your Content
• Your Content does not infringe any third-party rights
• Your Content complies with all applicable laws
• You have obtained all necessary permissions for any individuals appearing in Your Content

Responsibility: You are solely responsible for Your Content and the consequences of uploading or publishing it. We are not responsible for any content created, uploaded, or distributed through the Service.

7. Fees and Payment

Subscriptions: Certain features require a paid subscription. By subscribing, you agree to pay the applicable fees.

Billing: Subscriptions are billed in advance on a recurring basis (monthly or annually). Your subscription will automatically renew unless you cancel before the renewal date.

Free Trials: If you sign up for a free trial, you must cancel before the trial ends to avoid being charged. We will charge your payment method at the end of the trial period unless you cancel.

Refunds: All fees are non-refundable except as required by law or as explicitly stated otherwise.

Price Changes: We may change our prices with 30 days' notice. Continued use after a price change constitutes acceptance of the new price.

Taxes: You are responsible for any applicable taxes.

8. Data Retention

Uploaded videos and generated clips are stored according to your subscription tier:

• Free accounts: Content may be deleted 3 days after last access
• Paid accounts: Content retained for 90 days after last access

We may delete content after the applicable retention period without notice. You are responsible for downloading and backing up any content you wish to keep.

9. Intellectual Property

The Service, including its design, features, and content (excluding Your Content), is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our written permission.

10. Third-Party Services

The Service integrates with third-party services (including Google Gemini for AI analysis and OpenAI for captions). Your use of such services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

11. Copyright and DMCA

We respect intellectual property rights and expect users to do the same. We will respond to valid notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA").

DMCA Notices: To submit a takedown notice, send the following to hamp@vibevideo.ai:

• Identification of the copyrighted work claimed to be infringed
• Identification of the infringing material and its location on the Service
• Your contact information (name, address, phone, email)
• A statement that you have a good faith belief the use is not authorized
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner
• Your physical or electronic signature

Repeat Infringers: We will terminate accounts of repeat infringers in appropriate circumstances.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Any errors will be corrected
• AI-generated content (captions, overlays, clip selection) will be accurate, appropriate, or suitable for your purposes

You use the Service at your own risk.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VIBEVIDEO, ITS OPERATORS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your content or data
• Any other matter relating to the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless VibeVideo, its operators, affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content or any content you submit, post, or transmit through the Service

15. Dispute Resolution and Arbitration

Informal Resolution: Before filing a claim, you agree to try to resolve the dispute informally by contacting us at hamp@vibevideo.ai.

BINDING ARBITRATION: Any dispute arising from these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

CLASS ACTION WAIVER: YOU AND VIBEVIDEO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions: Either party may bring claims in small claims court if eligible. Either party may seek injunctive relief in any court of competent jurisdiction.

16. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the Service will cease immediately
• We may delete your account and content
• Provisions that by their nature should survive will survive (including ownership, warranty disclaimers, indemnification, and limitations of liability)

You may terminate your account at any time through your account settings or by contacting us.

17. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

19. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and VibeVideo regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
